Als LOI - Absichtserklärung - werden Willenserklärungen von Verhandlungspartnern verstanden, die das Interesse an Verhandlungen oder am Abschluss eines Vertrages bekunden sollen. Die Erklärungen werden von einem oder von mehreren Verhandlungspartnern abgegeben. Die Rechtsverbindlichkeit der einzelnen Regelungen ist klar zu regeln und gegebenenfalls durch Auslegung zu ermitteln. Insbesondere im Vorfeld von komplexen Unternehmenskäufen, oder anderen zeitaufwendigen Transaktionen stellen die potenziellen Käufer oft einen Letter of Intent aus. Vor Beginn oder während der laufenden Verhandlungen soll hiermit die Ernsthaftigkeit der Gespräche und der Wille zum Abschluss eines entsprechenden Vertrages dokumentiert werden. Keinesfalls sollen Absichtserklärungen einen Anspruch auf Abschluss des beabsichtigten Vertrages begründen, aus dem möglicherweise eine Schadensersatzpflicht erwächst. Vielmehr soll ein jederzeitiger Abbruch der Verhandlungen ohne Angabe von Gründen möglich bleiben.

PROCEDURES AND TERMS 1. Buyer sends LOI 2. Seller sends FCO 3. Seller issues draft contract to the buyer for comments and acceptance, the buyer signs, seals and return the contract 4. Within five banking days after the final hard copy contract signature, the buyer transfers the payment equivalent to the shipment for 2 months as guarantee into the Escrow Account run and controlled by German Bank. 5. Payment shall be by TT against shipping documents in loading port. 6. All terms of delivery shall be governed by the contract terms
NOTE: The seller may elect to proceed to step 3 and issue draft contract in lieu of issuing an FCO for efficiency.
